1. The Service and Acceptance of These Terms
Welcome to InflowLive ("the Platform", "we", "us"), available at www.inflowlive.com. The Platform is a multi-merchant e-commerce service that combines online storefronts, live-auction order capture, and post-comment order capture. It helps merchants run online marketplaces, sell through live streaming, automatically match social-media comments into orders, and manage orders, logistics, and payments.
By registering, signing in, browsing, purchasing, listing products, or using the Platform in any way — whether as a merchant, consumer, or visitor — you confirm that you have read, understood, and agreed to all of these Terms of Service ("these Terms"). If you do not agree with any part of them, please stop using the Platform immediately.
These Terms, together with our Privacy Policy, form the entire agreement between you and the Platform.
2. Definitions
- The Platform / we / us: all services provided by InflowLive (www.inflowlive.com).
- Merchant: a natural or legal person who registers on the Platform to open an online store, sell products, or capture orders through live streaming.
- Consumer: an end user who browses or purchases products or services on the Platform or in a merchant's store.
- User: merchants and consumers collectively.
- Products: physical goods, virtual goods, services, or digital content listed by merchants on the Platform.
- Third-party services: payment, logistics, social media, cloud, and other external providers integrated with the Platform.
3. Merchant Accounts and Registration
3.1 Eligibility
- Merchants must be natural persons, sole proprietorships, companies, or other legal entities duly established or registered under applicable law.
- Merchants must provide true, accurate, complete, and current registration information, including but not limited to: store name, contact phone, contact address, contact person, and email address.
- The Platform may require additional identity or business registration documents where required by law, business needs, or risk management.
3.2 Account Security
- Merchants must safeguard their account credentials and must not transfer or lend them to any third party.
- Merchants are responsible for losses arising from stolen accounts or leaked passwords attributable to them.
- Merchants must notify the Platform immediately upon discovering any account anomaly so we can take necessary measures.
4. Merchant Obligations and Listing Rules
4.1 Accuracy of Product Information
Merchants must ensure that listed product information (including but not limited to name, specifications, quantity, price, images, ingredients, origin, shelf life, usage, and expiry) is true, complete, not misleading, and compliant with advertising laws.
4.2 Prohibited Items
Merchants must not sell the following:
- Illegal goods (narcotics, firearms and ammunition, unapproved drugs, endangered species, stolen goods, etc.).
- Goods infringing intellectual property rights (counterfeits, pirated copies, unauthorized reproductions).
- Goods requiring a license or permit the merchant has not obtained (tobacco and alcohol, health supplements, prescription drugs, cosmetics with therapeutic claims, etc.).
- Content contrary to public order or good morals.
- Items the Platform has announced as prohibited for risk-management or compliance reasons.
4.3 Ability to Fulfill
- Merchants must have a real and current ability to fulfill listed products, including stocking, shipping, customer service, and returns handling.
- Merchants must ship within the agreed time after a consumer places an order; in case of delay, stock-out, or discontinuation, the merchant must notify the consumer immediately and process refunds as required by law.
4.4 Advertising Law and Consumer Protection
- Merchants' advertising and marketing — in product copy, live-stream scripts, and post comments — must comply with fair trade, consumer protection, and advertising laws, and must not be exaggerated, false, or misleading.
- Consumers' statutory rights (such as cooling-off periods) are the merchant's responsibility to honor; the Platform only provides tools to help merchants manage them.
4.5 Special Rules for Live and Comment-Based Ordering
- Merchants must clearly tell consumers, in the live stream or post, the bidding keywords, rules, deadline, and checkout method.
- Orders matched automatically by the system must be manually confirmed by the merchant; for ambiguous specifications, vague comments, or duplicate bids, the merchant must proactively contact the consumer to confirm.
- Merchants may not use system or technical errors to evade their legal responsibilities toward consumers.
5. Consumer Registration and Use
- Consumers must provide true and accurate personal information; consumers bear responsibility for failed transactions caused by inaccurate information they provided.
- A purchase made on the Platform forms a sales contract directly between the consumer and the merchant. The Platform provides matching and system services only and is not a party to the sales contract.
- By linking a social account (such as Facebook sign-in) to the Platform, the consumer agrees to our handling of related data under the Privacy Policy.
6. Platform Fees, Commissions, and Settlement
- Depending on their plan, merchants may pay one or more of: subscription fees, transaction fees (a commission on sales), payment processing fees, logistics fees, and value-added service fees. Exact rates follow the merchant's chosen plan, a separately signed agreement, or the rates published in the merchant console.
- The Platform may temporarily withhold merchant payouts for disputed amounts, refunds, or risk-management needs, releasing them once the dispute is resolved.
- Settlement cycles, payout cycles, payout fees, and minimum payout thresholds follow the merchant's plan or the Platform's published rules.
- The Platform may adjust rates and billing methods with prior notice, based on market conditions, operating costs, or legal changes.
7. Orders, Payments, and Invoices
- Once a consumer completes an order and payment, the sales contract is formed between the consumer and the merchant; the Platform is not a party to it.
- Payment services are provided by integrated third-party gateways (such as PRESCO, NewebPay, TapPay, and LINE Pay). Each gateway has its own terms and rates; using it constitutes acceptance of those terms.
- Invoices are issued either (1) by the merchant directly, or (2) by the Platform on the merchant's behalf, depending on the merchant's plan, as disclosed in the merchant console.
- Payment disputes (duplicate charges, missing funds, failed charges) should be raised with the Platform or the merchant within a reasonable time; the Platform will help refer them to the payment gateway.
8. Logistics and Fulfillment
- Logistics services are provided by integrated third-party carriers (such as T-cat, HCT Logistics, and NewebPay Logistics); merchants may also deliver or hand over goods themselves.
- Risks of delay, damage, or loss between the merchant's handover to the carrier and delivery to the consumer are borne, in principle, by the merchant or the carrier under the carrier's terms. The Platform provides logistics integration tools only and does not guarantee carriers' delivery quality or timeliness.
- Consumers should inspect goods immediately upon receipt and notify the merchant within a reasonable time of any defects or discrepancies.
9. Refunds, Returns, and Dispute Resolution
- Statutory cooling-off rights under consumer protection law are honored by the merchant.
- Disputes over defects, wrong specifications, or non-delivery should, in principle, be raised with the merchant directly first.
- In merchant–consumer disputes the Platform's role is to facilitate communication; it does not act as an arbitrator. If the parties cannot agree, remedies include civil litigation, consumer protection group complaints, and consumer dispute mediation.
- The Platform may, within reason, help clarify the facts of a dispute using the merchant's history, audit logs, and comment records on the Platform, but does not guarantee that every dispute can be resolved.
- For serious or repeated breaches of these Terms, the Platform may suspend the merchant under Section 13 and withhold disputed amounts pending a court decision or settlement.
10. Intellectual Property
- The Platform's systems, technology, trademarks, page designs, source code, UI designs, documents, and diagrams are the intellectual property of the Platform. Without our prior written consent, no one may reproduce, adapt, distribute, rent, sell, transmit, publicly display, or otherwise commercially use them.
- Product images, copy, videos, trademarks, and logos uploaded by merchants remain the intellectual property of the merchant or their licensors. Merchants warrant that uploaded content does not infringe others' rights, and license the Platform to use, reproduce, and publicly transmit it to the extent necessary to provide the Service (for example: display on the storefront, internal search and matching, and as the record of orders with consumers).
- Comments and reviews left by consumers remain the intellectual property of the consumer, who licenses the Platform and the relevant merchant to use, reproduce, and publicly transmit them to the extent necessary to provide the Service.
- If you believe content on the Platform infringes your intellectual property rights, contact us per Section 17 with proof of your rights, and we will handle it in accordance with the law.
11. Prohibited Conduct
When using the Platform, users must not:
- Violate laws, public order and good morals, or these Terms.
- Infringe others' intellectual property, privacy, likeness, or reputation.
- Provide false or misleading information, impersonate others, place fake orders, or file malicious reports.
- Attempt unauthorized access to, crack, or interfere with the Platform's or others' systems or data.
- Use crawlers, bots, or other automation to mass-harvest Platform data — except merchants reasonably extracting their own store data, or with the Platform's prior written consent.
- Send spam, unauthorized advertising, flooding, or harassment to other users.
- Circumvent the Platform's fees or settlement mechanisms, or trade off-platform to evade fees.
12. Service Interruptions and Disclaimers
- The Platform is provided "AS IS". We do not warrant that it will be uninterrupted, error-free, or fully meet your particular needs or expectations.
- The Platform is not liable for interruptions, delays, or data loss caused by the following, though we will make commercially reasonable efforts to restore service:
- Scheduled maintenance or necessary emergency maintenance.
- Failures, changes, shutdowns, or policy changes of third-party services (such as Meta APIs, TikTok APIs, payment gateways, carriers, or cloud infrastructure providers).
- Force majeure (natural disasters, war, riots, strikes, epidemics, government orders, network infrastructure failures, etc.).
- Intentional, negligent, or unlawful acts of users or third parties.
- The Platform makes no warranty as to: (a) the quality, safety, or legality of merchants' products; (b) the final performance of transactions between merchants and consumers; (c) the service quality of third-party payment gateways, carriers, or social platforms.
- To the maximum extent permitted by law, the Platform is not liable for any direct, indirect, or consequential damages (including but not limited to loss of business, profits, goodwill, or data) arising from use of the Service. Where the Platform is nonetheless liable by law, total compensation is capped at the fees that user paid the Platform for the specific matter in dispute.
13. Suspension and Termination
13.1 Termination by the User
- Merchants may request to end the service in the merchant console. We will settle outstanding payouts, stop future billing, and delete merchant console data within a reasonable time (except data that tax law requires us to retain).
- Consumers may delete their account in the member center; after deletion, personal data is handled under the Privacy Policy.
13.2 Suspension or Termination by the Platform
The Platform may, without prior notice, immediately suspend all or part of a user's access, suspend the account, or terminate the agreement if the user:
- Violates these Terms, the Privacy Policy, or published Platform rules.
- Sells prohibited items listed in Section 4.2.
- Is reasonably judged by the Platform to be engaged in serious illegality or fraud, to seriously harm consumer rights, or to be the subject of numerous consumer complaints.
- Provided materially false information.
- Shows long-term inactivity, long-term non-payment, or a clear intention to stop using the Service.
- Must be suspended due to law, an order of a competent authority, or a court ruling.
Suspension or termination does not affect claims the Platform has already accrued against the user, nor the merchant's obligations under sales contracts already formed with consumers.
14. Personal Data Protection
For how we collect, use, retain, and transfer personal data, and your rights as a data subject, see the Privacy Policy. To delete your personal data or exercise other data subject rights, see the Data Deletion Instructions or email support@inflowlive.com.
15. Changes to These Terms
- These Terms may be revised at any time due to legal updates, service changes, or policy adjustments. When revised, we will update the "Last Updated" date on this page and, where necessary, notify you via in-site notice, email, or the merchant console.
- Continuing to use the Service after a revision is published means you accept the updated Terms.
- If you do not agree with the revised Terms, stop using the Service immediately and terminate your account per Section 13.1.
16. Governing Law and Jurisdiction
- These Terms are governed by and construed under the laws of the Republic of China (Taiwan), excluding its conflict-of-laws rules.
- For disputes arising from these Terms, the parties agree that the Taiwan Taipei District Court shall be the court of first instance — without prejudice to any exclusive jurisdiction consumers enjoy under consumer protection or other laws.
- For merchants located outside the Republic of China, the Platform may agree on a different governing law and jurisdiction based on the merchant's location.
